Mark Smith was an architect who worked in Bangsar, Kuala Lumpur. Nile Jack asked Smith to draw plan for Jack’s new hotel/apartment, the Princess Castle at Cyberjaya Lake. Smith agreed to take on the project and immediately began preliminary work.
At this time, Smith dealt directly with Jack, who referred to the project as “my hotel.”
One month later, Smith wrote to Jack, detailing, among other things, the architect’s services and fee. The two men subsequently discussed Smith’s plans and set Smith’s fee at RM400,00.
Three months later, Jack formed Tasik Enterprise, Sdn Bhd (Tasik Enterprises), a corporation of which Jack was the sole shareholder and president. Tasik Enterprise was formed for the purpose of owning the new hotel/apartment.
During this period, Smith was paid monthly by cheque drawn on an account belonging to another corporation controlled by Jack. Smith never agreed to contract with any of these corporations and always dealt exclusively with Jack.
When Smith was not paid the full amount of his architectural fee, he sued Jack to recover. Jack claimed that he was not personally liable for any of Smith’s fee because a novation had taken place.
