Damien responds at 5.30pm saying “Will only pay $2,500. What say you?” At 9.00am the next morning Adam sends Damien an email saying “Okay, good, we can agree on a price of $2,500.”
At about the same time Damien sent an email to Adam saying “Cancel my earlier counter-offer. I will take the fridges for $3,000 as I need them as soon as possible and I cannot bother with haggling over the price.” According to the electronic records
• Damien’s email “in” box received Adam’s email accepting the price at $2,500 at 9.40am and he looked at it at 9.45am
. • Adam received Damien’s email stating that he was willing to pay $3,000 at 9.30am but Adam did not look at it until 10.00am.

Gourmet Table have had enough of their chef Edward’s mistakes in the kitchen and terminate his employment. As he is leaving he fires off the following words to you, “I am going to join Tucker Box Restaurant down the street and wherever I go I am going to help make it so much better than your Gourmet Table restaurant. ” You point out to Edward that when he was hired you put into his contract an express clause that says: “I, Edward Smith, agree, upon my leaving the employment of Gourmet Table Restaurant, agree not to work at any other restaurant within a five kilometres radius of Gourmet Table, for a period of 24 months.” He has signed the contract at the end and remembers reading that clause.
Is Edward bound by the ‘restraint’ clause in the letter? If so, why? If not, why not?
