Corporate Governance Assignment Help

Case Scenario: You work for a publicly traded company and your Executive Leadership Team (ELT) has asked you to review the company’s current performance against best practices in CSR Governance and Management.  You are asked to make recommendations on how the company can best improve. Two significant investors have approached the Board of Directors and are asking tough questions about how well your company is doing in CSR Governance and Management, and whether the company faces any business risks.  To complete the assessment, the ELT has asked you to refer to the Guidelines put out by Industry Canada and Canadian Business for Social Responsibility in collaboration with Coro Strandberg.   The target audience for this analysis is your company’s Executive Leadership Team. They are looking for an assessment of where the company is doing well, where it is doing poorly, and what recommendations could be made for improvement.  Think about what the company should do (such as implement a program or practice); when the company should do it (say immediately or within 3 years); and why the company should do it (anticipated business value if the company does it or possible risk if the company doesn’t do it).     Task:

  1. Choose a company from Newsweek’s Green Rankings 2017: Global 500 (must be a publicly traded company for the majority of these practices to apply).
  2. Read through the company’s online materials and public CSR or Sustainability Reports. Using the free CSR Governance and Management Assessment tool by Coro, assess the company’s practices using the rating system provided in the tool.

The rating system in the tool is based on a 5-point ranking: 0 = No practices in place 1 = Weak practices 2 = Moderate practices 3 = Strong practices 4 = Full practices N/A = not applicable

  1. Rate and assess the company’s practices by category:
  • Vision and Strategy
  • Oversight and Accountability;
  • Risk Management and Financial Performance;
  • Board Composition and Expertise;
  • External Disclosure;
  • Commitment and Strategy;
  • Execution;
  • Performance;
  • Engagement; and
  • Monitoring and Reporting.

Assess where the company practices are full, strong, moderate, weak or even missing.  You should provide this analysis for all 10 categories. Note, if the information does not appear to be available to satisfy each specific criterion, please put “unknown.”

  1. In a “Recommendations” section, identify what you believe are the biggest gaps for the company and why.  This is a section where “evidence” is required to support your ideas. The Executive Leadership Team will be expecting you to identify the biggest priority items to address and why.  Which aspects of corporate culture require greater embedding of sustainability practices? What risks might the company face if it does not improve in a certain area? Consider applying a “business value lens” when choosing the top priorities to address.  Think about which actions will immediately help reduce the company’s risk; enhance the company’s reputation; allow the company to run more efficiently; identify new markets or cost savings for the company to consider; et cetera.

Students may draw upon experiences and knowledge from other courses in the program.  You might wish to refer to Savitz (2014) and Willard (2012) to help you discuss and support your recommendations for the company.         Case Study Deliverables/Organization

  • Introduction  (what the report will discuss);
  • Overview (of the organization);
  • Methodology  (in your own words explain the Cora CSR Governance and Management Assessment tool)
    • Appropriate headings should be used.  Remember, your audience is the Executive Leadership Team (ELT).  I recommend using the following headings:

Company Performance Analysis

    • Include filled out table for each of the 10 categories
    • In the “assessment” section for each criteria, include a url where you got the information for your rating.  The rating can be subjective (e.g. moderate versus weak), so make sure you can justify the rating you gave the organization!
    • Be sure to include your assessment of the overall rating of the organizations

Recommendations

  • Include your top 3 recommendations
  • These should be the categories with the most “0”s or “n/a” because the organization is not communicating information well in this category
  • Make sure to justify why you are making these recommendation to your ELTs
