Welcome to HI6027 Business and Corporate Law. In this unit, students will be introduced to the fundamentals of the Australian legal system, contract and tort law, as well as company law. This unit will also help students enhance their understanding of how company law influences practices and policies of business organisations.
It will provide students with solid foundation knowledge of the Corporations Act 2001 (Cth,) which is vital to understanding how companies operate in Australia. This unit looks at the various players involved – e.g. members, directors, creditors, regulators and the public. An understanding of company law is essential for students who are aspiring to be senior managers in a company.
UNIT LEARNING OUTCOMES
On completion of this unit students will be able to:
• Critically examine the main features of the Australian legal system.
• Critically analyse the ethical implications of legal decisions and how they impact on the business environment.
• Assess the obligations, rights and remedies available to parties in particular commercial relationships.
• Critically examine the foundations of Australian company law.
• Critically discuss and apply contract and tort law in business circumstances.
• Critically analyse the concept of corporate internal rules and Management.
• Critically discuss and apply the legal framework that regulates a company’s dealings with outsiders.
• Analyse the interaction between members’ rights, directors’ duties and corporate governance.
• Analyse the procedures regarding external administration and winding up.
