As a director of AniMal Limited, you are asked to review each of the following six agenda items, 8, 10, 11, 12, 13, and 14, for the board meeting to be held on 22 November 2023. For each agenda item:

• Identify the key issues, state the reasons why you believe the issues are significant, providing your analysis and rationale.

• State the questions you would ask at the board meeting in relation to each agenda item.

• Propose recommendations to address the issues for the board’s consideration.

• Describe the anticipated outcomes, assuming your recommendations are adopted.

Part 2 

In relation to the approval of the annual budget (agenda item 15 and Appendix 3), provide the following:

1. List five key assumptions you would request further information about and why they are relevant to the budget.

2. Excluding budget assumptions, describe five key strategic issues you would seek clarification from the CFO about their impact on the budget?

3. Advise how you would vote on a resolution tabled by the chair, to approve the 2024 budget. Provide three key considerations to support your decision.

4. Advise five key non-financial metrics (KPIs) that you would expect to be included in the monthly board papers, to enable the board to monitor organisational performance during the budget period.

Part 3 

1. Identify five (5) additional (i.e., not discussed in answering any of the previous) governance issues that should raise concerns for the board and why you identified each issue.

2. Recommend what should be done to address each issue.

3. For each of the additional governance issues, state how you would personally influence your fellow directors to accept your recommendations and progress their implementation.
