• Fast Head Ltd is a leading electronic manufacturing company in Hong Kong. Leon (50%) and Jacky (50%) are the only shareholders and Suki is the sole director of this company. 
• The company recently decided to develop a new type of smartwatch and is now considering to buy 100 tons of silicon for the production. Apart from being a director of Fast Head Ltd, Suki is also the director and major shareholder of a technology company named: Goodman Ltd. Suki intended to procure Fast Head Ltd to buy the needed raw materials from Goodman Ltd. Suki maintained that the purchase would be perfectly legitimate because she has no intention to ask for an inflated price, plus the fact that Goodman Ltd is a separate legal entity distinct from herself. Suki regarded this transaction as a fair one as Fast Head Ltd would not be harmed financially. 
• Apart from the purchase of silicon, Fast Head Ltd is also in the negotiation of a sales contract with a merchandiser from Korea, Mr. Kim. Mr. Kim wants to buy some electronic parts from Fast Head Ltd, which may involve a total sum of $30 million dollars. Suki learned about the intended purchase of Mr. Kim, so she proposed to Mr. Kim that her own company (Goodman Ltd) can sell the same product to him at a much lower price. Suki does not think that such a proposal to Mr. Kim may against the interest of Fast Head Ltd given that Mr. Kim has not yet concluded a formal contract with Fast Head Ltd. 
• Amy is an investor in the high tech industry. She has a strong interest in Fast Head Ltd and wanted to become its shareholder. Suki learned that and promised to help Amy by keep issuing new shares to her until she can effectively control the company. Leon and Jacky were seriously enraged by the decisions of Suki on the events abovementioned. They decided to take legal action against her.
