You are a junior lawyer in a general law firm. Thelonius is a client of your law firm and he owns Monk’s Mood Music, a once successful business specializing in jazz recordings (LP records and CDs), sheet music, books and jazz memorabilia. There are Monk’s Mood Music shops in numerous locations around Australia.
More recently Monks’ Mood Music has lost significant market share to competitors that have a strong online presence. It is getting fewer and fewer customers into its shops and telephone orders/sales have reduced significantly. Sales have dropped by 80% this year alone! In response to this crisis, Thelonius has decided to fully embrace digital marketing strategies and wants to close most of the shops. He plans to relaunch the business as MMMJazz “the premier online store for the
true jazz lover”. He hopes to attract both Australian and international customers. His ideas include:

•  Having all stock catalogued, photographed, priced and available for viewing online by potential customers.
•  A web-store facility that allows customers to browse and select items from the catalogue (e.g. CDs, books, memorabilia) and create an online order form for items to be delivered by post or courier.
• A repository of digitized recordings and sheet music that can be purchased and downloaded immediately.
• A specialist acquisition service where customers can go online, identify desired recordings, sheet music or items, pay a finder’s fee and MMMJazz will source the item for the customer to then buy.

Assignment Task B 

Madison is a 15 year old girl who studies jazz music at Spoilt Brat High School. She orders a CD, ‘The Best of Jazz 2018’, via the MMMJazz website, using her father’s credit card. Madison and the MMMJazz distribution store are both in New South Wales. Thelonius receives a complaint from Maxwell, the father of the girl. Maxwell alleges that the price his daughter paid for the CD was manifestly high ($135) and that the CD ordered was not the CD delivered (the CD delivered was ‘The Best of Jazz 2017’). Thelonius turns to you for advice regarding his contractual obligations, if any, to both the father and the daughter. The terms of the contract are those you (or your group) drafted for Part A of this assignment.
