Assume that you are the legal advisor to Bob’s Tractors, which is a business in New South Wales that sells and leases agricultural machinery. Its owner, Bob, tells you about the following four sets of facts:

One of Bob’s long-time customers is Gillian. Gillian phones Bob on 7 July and says “I need a new tractor. What have you got available?” Bob says “I have a new Fiat tractor – I can let you have it for $ 150 000.” Gillian says “I’ll think about it.” On 8 July she sends an email to Bob saying “I will give you $ 145 000 for the tractor.” Bob emails back that same day saying “No – that’s not enough.” On 9 July Gillian emails back saying “OK, I will pay $ 150 000.” However Bob tells Gillian that he has changed his mind and no longer wishes to sell the tractor. Bob has received a letter from Gillian’s lawyer demanding delivery of the tractor at the price Bob originally stated.
 

Bob has a friend, Tom, who operates a transport company. He tells Bob that he needs to hire two trucks in a few weeks’ time in order to fulfil contracts from clients. He offers to pay Bob the standard rate of $ 400 per day for the hire, but Bob says “Listen, you helped me by transporting a load at short notice last July, so there’s no charge.” Tom says “Fantastic, I’ll go ahead and hire drivers.” A few days later, Bob phones Tom and says that he can’t let him have the trucks, saying that he had since arranged to hire them to another company. Tom says “We had a deal, and I am contractually bound to pay these two drivers who I hired because I anticipated having the trucks.” Bob says “No, we had no deal.” Bob has now received a letter from Tom’s lawyer demanding that he lend the trucks to Tom.
