The company sold the land in the Estate and as a condition of purchase, each buyer received oneshare in the company. A further condition is that on resale of the property, the share is transferred to the buyer. The OC wishes to amend its constitution by imposing a one-off payment by members to construct a road for golf buggies running from the estate to the Sanctuary Cove town centre. The constitution is amended. Marissa and Ryan are interested in purchasing a property in the SCE.

Channel 4 Ltd is a TV broadcaster in Australia. It has a TV broadcasting license granted by the Commonwealth Government. Channel 4 acquired the license many years ago and now needs to renew the license to continue broadcasting. 90% of the shares in Channel 4 are owned by Alexis Brown and 10% of the shares are owned by a minority shareholder Nihon TV Ltd which is a Japanese corporation. New Regulations by the Commonwealth Government provide, amongst other things, that any Australian TV broadcaster must be100% Australian owned (by a company and/or natural person) and that any current TVbroadcast license will be revoked should the holder fail to comply with this provision.

To comply with the new Regulations Channel 4 determines that it should change its constitution by empowering the majority shareholder to acquire compulsorily all the issued shares of Nihon. Nihon refuses to sell its shares as Channel 4 is a very profitable company. Advise Channel 4 as to the steps it needs to take to ensure a valid amendment to the constitution.
